Terms, Contact, Order Form and Credit Application


2018 FOOD FOR THE SOLE LLC, WHOLESALE TERMS AND CONDITIONS

Every product purchased or sold by or through Food for the Sole, LLC. ("FFTS") to a purchaser ("Retailer") is sold subject to the following terms and conditions:

MEALS – Meals are sold as a case pack of six of a single variety. No mixed case packs.

MINIMUM ORDER QUANTITY – Initial order may be three case packs or more. Minimum reorder is $225.

PLACING ORDERS – To reorder use the form attached, and email to sales@foodforthesole.co Confirmation of receipt of your order will be sent within 48 hours. Prices are subject to change without notice.

PAYMENT – All new orders are prepaid. Payment for orders is required prior to shipping or, if a local account, upon delivery of order, by check or credit card.

Net 30-day terms are offered to retailers with an approved credit application and a cumulative purchasing level of $1,000 or more.

Returned checks are subject to a $35 fee. At its option, FFTS may impose a late charge of up to two-and-a-half percent (2.5%) per month on past due payments.

DELIVERY – For orders in Central Oregon, FFTS may elect to make delivery to your store or allow for pick-up at the Kitchen. For all other orders delivery is FOB from Bend, OR. Orders are shipped on a first-come first-serve basis. Under normal circumstances orders will typically ship out 1-2 weeks from the day you order.

SHIPPING – Shipping is not included in the cost of goods. We will cover 50% of the shipping costs for any orders over $400. We cover the cost of insurance for any shipments.

INTERNATIONAL ORDERS – We do not ship international orders at this time.

BACKORDERS – We do our best to keep sufficient inventory at all times, but in the instance that an item is not available. We do not typically do backorders. If an item is out of stock we will remove the item from your order and make a note on the invoice.

PACKAGING – Wholesale orders are packaged in as few boxes as possible. All items are retail ready and have labeling and packaging to clearly identify the product. All FFTS products must be sold in their original packaging.

CHANGES – We ask all changes to your order be submitted by email to sales@foodforthesole.co within 24 hours of placing the order.

SHORTAGES/INCORRECT ITEMS – Please let us know immediately, within 24 hours of receiving your order.

DAMAGES AND DEFECTS – Please inspect all shipments immediately upon arrival. Please contact FFTS within 5 days of receipt of damaged or defective shipments. Returned merchandise will be replaced with new merchandise. Returned merchandise will not be accepted if it is held for more than 15 days after receipt.

OUT OF DATE PRODUCT – Should any FFTS product in your inventory become out of date we will replace the product or credit your account.

MINIMUM ADVERTISED PRICE POLICY – This policy applies to all advertisements of current Food for the Sole Products as well as storewide and department wide sales promotions below MSRP in any and all media, including but not limited to flyers, unrestricted coupons and discount codes, mailers, catalogs, radio, and public signage, as well as internet sites, social media sites, apps, or any other electronic media.

Retailers electing to promote advertising of sales of Food For The Sole Products below MSRP should limit such advertising to no more than 4 periodic sales events per calendar year, lasting 12 days or less, with not less than 30 days from the end of a sales event and the start of another, with the end date of the promotion clearly stated on all associated materials and media.

With respect to any sale that is initiated, accepted or conducted via the internet, whether through a website, email advertising, or other electronic social media, Retailer shall not advertise Food For The Sole Products at prices lower than MSRP without 30 day prior written approval from Food For The Sole. Such written approval will include but may not be limited to start and end dates, included SKUs, maximum discounts, and store locations.

CLOSURE OF AN ACCOUNT – We reserve the right to close your account, without notice or reason. However, we will attempt to notify you, in writing, of the closure. Some reasons include, but are not limited to:

  • Your account is in default
  • Improper trading practices
  • Account inactivity
  • A history of continued late payments
  • Providing us false or misleading information

 BREACH – Any breach of these Terms and Conditions may cause FFTS to suspend or forfeit credit terms without notice and/or close your account. The Retailer may be required to trade on a “pre-payment” basis, until, at the discretion of FFTS, credit terms are re-instated.
